of <h1>New Rules for Public Companies on Debentures and Loan Conversion into Shares under Companies Act, 1956, Section 81</h1> These rules, titled the Public Companies (Terms of Issue of Debentures and of Raising of Loans with Option to Convert such Debentures or Loans into Shares) Rules, 1977, were established under the authority of section 642 and clause (a) of the proviso to sub-section (3) of section 81 of the Companies Act, 1956. They govern the issuance of debentures and the raising of loans by public companies, including the option to convert these financial instruments into shares. The rules became effective upon their publication in the Official Gazette on September 2, 1977.
