of <h1>Companies must file draft offer letter with Registrar before share buy-back, per section 77A(6) of Companies Act, 1956.</h1> A company authorized by a special resolution must file a draft letter of offer with the Registrar of Companies before proceeding with a buy-back of shares. This letter must include the particulars specified in Schedule II. Additionally, the company must submit a declaration of solvency using Form No. 4A, as outlined in the Companies (Central Government's) General Rules and Forms, 1956, in compliance with section 77A(6) of the Companies Act, 1956.
