Inability of Chairman to function: authorised senior-most member discharges the Chairman's duties during absence or incapacity. When the Chairman cannot discharge duties owing to absence, illness or other cause, the senior-most member of the Board, if authorised by the Chairman, shall discharge the functions of the Chairman until the day on which the Chairman resumes charge.
