LLP winding up: Dispose of documents per tribunal or partners' approval. Violations may lead to fines or imprisonment.
When a Limited Liability Partnership (LLP) is fully wound up and nearing dissolution, its books and papers, including those of the LLP Liquidator, may be disposed of as directed by the Tribunal in tribunal-led winding up, or as approved by three-fourths of partners and secured creditors in voluntary winding up. After five years post-dissolution, no liability exists for missing documents. The Central Government may prevent document destruction for up to five years post-dissolution. Violating these rules or government directives can result in up to six months imprisonment, a fine up to fifty thousand rupees, or both.
