Company incorporation compliance declarations expanded to include professional certification where formation advisers are engaged.

Section 7 of the Companies Act, 2013 is proposed to be amended by replacing the existing declaration requirement with a revised compliance framework for company registration. A declaration in the prescribed form must be made by a person named in the articles as a director, manager or secretary, certifying compliance with the Act and the rules relating to registration and matters precedent or incidental thereto. An additional prescribed declaration is required from an advocate, chartered accountant, cost accountant or company secretary in practice where such professionals are engaged in formation or incorporation.
