Section 101 prescribes the notice of meeting requirement: a statutory minimum clear notice delivered in writing or electronically; notices must specify place, date, day, hour and business; notices must be given to every member (or their legal representative/assignee), the auditor(s) and every director; accidental omission or non-receipt does not invalidate proceedings; shorter notice is permissible with consent from an overwhelmingly large proportion of members entitled to vote, with tailored tests for companies with and without share capital and for members voting only on particular resolutions.
