Prospectuses for securities of companies incorporated outside India must be dated and signed and contain particulars about the company's constitutional instrument, the enactment of incorporation, an Indian inspection address (or certified English translation), the date and country of incorporation, and any Indian place of business and address; they must also state matters under section 26. Conditions attempting to waive these requirements or impute notice of unreferenced documents are void, and application forms may only be issued in India with a compliant prospectus except for bona fide underwriting invitations or specified exemptions.
