Director resignation: notice to company, Registrar filing requirements, and continued personal liability for offences committed during tenure.

A director must give written notice to resign; the Board records it and the company must notify the Registrar and disclose the resignation in the next directors' report. The resigning director must send the Registrar a copy of the resignation with reasons within thirty days. Resignation is effective on receipt or a later date specified, but the director remains liable for offences committed during tenure. If all directors vacate office, the promoter or, failing him, the Central Government shall appoint directors to serve until the company fills the posts at a general meeting.
