Implied authority binds the firm unless the third party knows of an internal restriction or misidentifies the partner.

Partners may modify a partner's implied authority among themselves by agreement, but the firm remains bound by acts within a partner's implied authority vis-a -vis third parties, unless the third party knows of the internal restriction or does not know or believe the actor to be a partner.
